On 2 February 2012 the European Parliament adopted a resolution making recommendations to the Commission on a 14th company law directive on the cross-border transfer of company seats.

A 14th company law directive, which would regulate the cross-border transfer of the registered office of limited companies, had originally been envisaged by the European Commission. In 2004 a public consultation was held on the outline of the planned proposal for the directive. However, in 2007, following the publication of the results of an impact assement study, the DG Internal Market and Services Commissioner at that time (McCreevy) decided that there was no need for action at EU level on this issue and stopped commission work in this area.
